Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a binding legal agreement between you and Cost Plus Care Inc. By creating an account or using our Platform, you agree to be bound by these Terms.
- If You Are a Patient: You agree to the "Patient Terms" (Section 4).
- If You Are a Provider: You agree to the "Provider Terms" (Section 5) and the "Business Associate Agreement" (Section 10).
2. The Platform: Venue Only
We provide a technology marketplace to connect patients with independent healthcare providers.
- No Medical Advice: We do not provide medical services, diagnosis, or advice.
- No Credential Guarantee: While we may perform limited checks, we do not guarantee the current licensure or insurance status of any Provider.
- Release: You release Company from any liability related to the quality of care or disputes arising from interactions with Providers.
3. User Accounts (All Users)
- Eligibility: You must be 18+ to use the Platform.
- Security: You are responsible for all activity under your account.
- Prohibited Conduct: You agree not to misuse our booking system, scrape data, circumvent fees, or upload detailed medical records into free-text fields.
4. Patient Terms
- Payments: You authorize us (and Stripe) to charge your payment method for booked services.
- Cancellations & Refunds: Providers set their own cancellation policies. You agree to the specific policy displayed at booking.
- Disputes: If you have a dispute with a Provider, you must resolve it directly with them.
5. Provider Terms
- Professional Warranty: You represent and warrant that you hold active, valid licensure and insurance.
- Listing Accuracy: You are solely responsible for your service descriptions and pricing.
- Stripe Connected Account: Payment processing is provided by Stripe. You agree to the Stripe Connected Account Agreement.
- Indemnification: You agree to indemnify and hold Company harmless from any claims arising from your provision of medical services.
6. Fees and Payments
We may charge a platform fee to Patients or a commission to Providers. All fees are clearly disclosed before booking.
7. Termination
We may suspend or terminate your access at our sole discretion, including for violation of these Terms or suspected fraud.
8. Limitation of Liability
The Platform is provided "as is" without warranties of any kind. Company shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the greater of fees you paid us in the last 12 months or $100 USD.
9. Dispute Resolution (Arbitration)
Any dispute arising under these Terms shall be resolved by binding arbitration. You waive any right to a jury trial or to participate in a class action.
10. Business Associate Agreement (BAA)
This Section acts as a Business Associate Agreement if Provider is a "Covered Entity" under HIPAA.
- Permitted Use: We will use PHI only to provide the Service.
- Safeguards: We will implement appropriate safeguards to protect PHI.
- Breach Reporting: We will report any Breach of Unsecured PHI without unreasonable delay.
- Subcontractors: We ensure that any subcontractors handling PHI agree to the same restrictions.
- Termination: Upon termination, we will return or destroy all PHI if feasible.
